By-Laws

ARTICLE I:              NAME

The name of this club is SONOMA COUNTY MUSTANG CLUB, hereinafter referred to as SCMC, a non-profit organization.

ARTICLE II:                        OFFICE

There shall be a principal office for the transaction of the business of SCMC located at the address of the current President, the mailing address shall be Sonoma County Mustang Club, P.O. Box 8719, Santa Rosa, CA 95407.

ARTICLE III:           PURPOSE

a)  To operate and maintain an organization to encourage and promote the admiration,     
ownership, care and maintenance, with safe and courteous operation of all Ford
Mustangs.
b)  To serve as a medium of exchange for ideas, information and parts for owners of
Mustangs, to assist in restoring and preserving these automobiles.
c)  To unite owners of Mustangs who are interested in restoring and maintaining
     their automobiles, in a manner that will promote admiration and respect within
     the community.  We are a local organization with no national affiliations.
d)  To provide a social group for club members whereby they can meet, socialize and
maintain a spirit of good fellowship, and participate in activities including the use of
their Mustang.
e)  To engage in any other activity related to the above from time to time authorized or
approved by the Board of Directors or members of the club.
f)  Ownership of Mustang not required to become SCMC member.

ARTICLE IV:           MEMBERSHIP

a)  There shall be one class of membership.  The rights and privileges of all members
shall be equal.  In case of membership granted to household families, all licensed
family members shall have all rights and privileges of membership.
b)  Dues per registered owner(s) living at the same address are payable during the first
month of each year.  Dues become delinquent one month after renewal date and
non-payment shall result in automatic termination of membership.  Dues shall be
$25.00 annually per household and can be adjusted by a majority of votes by the
general membership.
c)  The Board of Directors is hereby granted the exclusive power to reject the
application for membership of any person and to expel any member when that
person’s association with SCMC is not considered in the best interest of the club.
d)  All licensed drivers participating in any SCMC function that involves the use of any
motor vehicle shall have in possession a valid automobile operator’s license, current
registration of vehicle, proof of current automobile insurance equal to the minimum
requirements of the State of California Department of Motor Vehicles Codes.
e)  All members shall receive a copy of the By-Laws with their membership and
updated copies of approved amendments.
f)  No SCMC member is allowed to obligate the SCMC to pay for any goods, services,
contributions or fees without the prior approval of the Board of Directors.  At the
discretion of the Board of Directors, failure to comply with this requirement may
cause the offending member to be personally liable for such payment.

ARTICLE V:                        BOARD OF DIRECTORS

a)  The administration and management of SCMC is hereby vested in the Board of
Directors, subject only to the limitations provided in these By-Laws or by California
law.  The Board of Directors shall consist of four elected officers (President, Vice
President, Secretary and Treasurer), and three members in good standing.  A
Quorum of the Board of Directors shall consist of a majority of same.
b)  Election of officers and board members shall be held at the November monthly
meeting.  In the event of a tie, a secret ballot election shall be held at the November
meeting for the two persons the tie is between and shall be resolved by close of
meeting.
c)  The officers of the SCMC shall be President, Vice President, Secretary, and
Treasurer.
d)  The President shall preside over all meetings of the Board of Directors and
meetings of the members.  He/she shall sign all contracts and other instruments of
writing which shall have been first approved by the Board of Directors.  To be an
     elected officer of SCMC, a member must be at least 18 years of age and a
     member in good standing for 6 months or more.
e)  In the absence of the President, the Vice President shall preside in his/her place.
f)  The Secretary shall keep a full and complete record of all proceedings of the
Board of Directors and meetings of the members; shall make service of such notices
as may be necessary and proper, shall supervise and control the keeping of these
books, and shall discharge such other duties as pertaining to his or her office or as
prescribed by the Board of Directors.
g)  The Treasurer shall receive and safely keep all funds and deposit same in such a
bank as may be convenient.  Such funds shall be paid out only on the bank account
of the SCMC, approved by the Board of Directors and signed by the Treasurer.

 

ARTICLE VI:           MEETINGS OF MEMBERS

a)  There shall be a SCMC meeting monthly, excluding December.
b)  The President shall hold a minimum of one (1) meeting of the Board of Directors
during the fiscal year.

ARTICLE VII:         REVENUES

a)  The fiscal year shall begin on the first day of January of each year.
b)  Dues for each member are assessed for the calendar year.  Dues are payable
January 1 of each year and are delinquent February 1.  Only members in good
standing can vote and only members in good standing can hold office.  First time
membership shall be prorated to one-half (1/2) dues after July 1st of each year.
c)  SCMC shall maintain a budget that meets the minimum balance requirements to avert
bank maintenance charges to the savings account and checking account, plus $500.00
to the checking account, before SCMC funds can be used for donation purposes to
charities.  This article does not preclude members, or SCMC, from engaging in fund
raising activities should the minimum balance not be reached.  This would include,
but not be limited to, the monthly canned food drive and a cash donation to a charity
from funds expressly raised for that purpose.

ARTICLE VIII:        VOTING

a)  For the purpose of SCMC a quorum shall be defined as the average number of
members in good standing attending each meeting during the immediate past six (6)
months.
b)  A majority hand vote of a quorum will be required for passing any motion made
during a regular meeting.
c)  Voting for the Board of Directors.  Each member in good standing shall receive one
ballot.  Couple membership will receive two ballots, provided couple member dues
were paid.

ARTICLE IX:           AMENDMENT OF BY-LAWS

a)  Notice of proposed amendment of the By-Laws shall be mailed or e-mailed to each
member by the Secretary or Newsletter Editor at least ten (10) days prior to the
meeting at which voting on the amendment is to take place.
b)  Notice of proposed amendment shall contain the text of all proposals for the
amendment.
c)  Proposals for amendment of the By-Laws may be submitted to the Board of
Directors by three (3) members in good standing.
d)  These By-Laws may be amended by two-thirds (2/3) votes of the members in good
standing, or
e)  By vote of at least 80% of the Board of Directors, subject to a majority vote of the
club members present.
f)  By-Laws shall be reviewed at the start of each fiscal year for changes.

ARTICLE X:                        DISCLAIMER

a)  SCMC and its members shall not be held responsible or liable for any injuries or
property damages that occur as a result of or during a club event, function or outing.
b)  Neither the Members, Board of Directors, Officers (past, present or future), shall
be held personally liable for any claim, damage, or debt against SONOMA COUNTY
MUSTANG CLUB.
c)  No member shall have the right to any individual proceeds of SONOMA COUNTY
MUSTANG CLUB assets or property.

 

 

 

AMENDMENT TO THE BY-LAWS

 

 

 

REFERENCE ARTICLE IV:  MEMBERSHIP PARAGRAPH b)

 

 

1)    Membership Dues have been increased to $25.00 per household effective
        January 1, 2000.

AMENDMENTS TO THE BY-LAWS

 

 

1)  Article IV: MEMBERSHIP, Item f):

“No SCMC member is allowed to obligate the SCMC to pay for any goods, services,
contributions or fees without the prior approval of the Board of Directors.  At the discretion of the Board of Directors, failure to comply with this requirement may cause the offending member to be personally liable for such payment.”

 

2)  Article V: BOARD OF DIRECTORS, Item g):

“The Treasurer shall receive and safely keep all funds and deposit same in such a bank as may be convenient.  Such funds shall be paid out only on the bank account of the SCMC, approved by the Board of Directors, and signed by the Treasurer.”

 

3)  Article IX: AMENDMENT OF BY-LAWS, Item a):

“Notice of proposed amendment of the By-Laws shall be mailed or e-mailed to each member by the Secretary or Newsletter Editor at least ten (10) days prior to the meeting at which voting on the amendment is to take place.”

AMENDMENT TO THE BY-LAWS

 

 

 

Under ARTICLE VII: REVENUES; add the following:

 

c)  SCMC shall maintain a budget that meets the minimum balance requirements to avert bank maintenance charges to the savings account and checking account, plus $500.00 to the checking account, before SCMC funds can be used for donation purposes to charities.  This article does not preclude members, or SCMC, from engaging in fund raising activities should the minimum balance not be reached.  This would include, but not be limited to, the monthly canned food drive and a cash donation to a charity from funds expressly raised for that purpose.
